Welcome to UpFolio ("we," "us," or "our"). UpFolio is a SaaS platform that enables users to upload their CV in PDF format and automatically generate a professional online portfolio using artificial intelligence.

By accessing or using UpFolio (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and protect your personal data.

2. Description of the Service

UpFolio allows users to:

• Upload a CV in PDF format
• Automatically generate a professional online portfolio using AI technology
• Customize and edit portfolio content
• Share portfolios via a public link
• Access additional features through paid subscription plans

The Service is provided on a freemium model, with basic features available at no cost and premium features available through optional paid subscriptions.

3. Eligibility and User Accounts

You must be at least 18 years old to use UpFolio. By creating an account, you confirm that you meet this age requirement and that all information you provide is accurate and up to date.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4. User Responsibilities and Acceptable Use

When using UpFolio, you agree to:

• Use the Service in compliance with all applicable laws and regulations
• Provide accurate and truthful information in your CV and portfolio
• Not upload content that is illegal, offensive, defamatory, or infringes on third-party rights
• Not attempt to gain unauthorized access to the Service or other users' accounts
• Not use the Service for spam, phishing, or malicious purposes
• Not reverse engineer, decompile, or attempt to extract the source code of the Service

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

5. Uploaded Content and Ownership

You retain full ownership of all content you upload to UpFolio, including your CV, personal information, photos, and any other data you provide.

By uploading content, you grant UpFolio a limited, non-exclusive license to:

• Process your CV using AI to generate your portfolio
• Store and display your content as part of the Service
• Make your portfolio publicly accessible via the sharing link you generate

This license ends when you delete your content or close your account. You may delete your account and all associated data at any time through your account settings.

6. Public Visibility of Portfolios

Portfolios created with UpFolio are publicly accessible to anyone with the shareable link. By generating and sharing a portfolio link, you acknowledge and accept that:

• Your portfolio can be viewed by anyone who has the link
• You are solely responsible for the information you choose to include in your portfolio
• You should not include sensitive, confidential, or private information that you do not wish to be publicly accessible
• UpFolio is not responsible for how third parties use or share your portfolio link

7. AI Processing Disclaimer

UpFolio uses artificial intelligence to automatically generate portfolio content from your CV. While we strive for accuracy, AI-generated content may contain errors, omissions, or formatting issues.

You are responsible for reviewing and verifying all generated content before publishing or sharing your portfolio. UpFolio is not liable for any inaccuracies in AI-generated content. You should always review and edit your portfolio to ensure it accurately represents your skills, experience, and qualifications.

Important: We do not use your CV content or personal data to train AI models. Your content is processed solely to generate your portfolio and is not shared with AI providers for model training purposes. We may use anonymized, aggregated usage data (not containing personal information) to improve the Service.

8. Payments, Subscriptions, and Cancellations

8.1 Payment Processing

All payments are processed securely through Stripe, a third-party payment processor. By purchasing a subscription, you agree to Stripe's terms of service.

8.2 Subscription Plans

UpFolio offers both free and paid subscription plans. Pricing and features are displayed on our website and may be updated from time to time. We will notify you of any price changes that affect your current subscription.

Prices are displayed in EUR (€) or USD ($) depending on your location. Prices do not include applicable taxes,which will be calculated and added at checkout based on your location.

8.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your plan) unless you cancel before the renewal date. You will be charged the then-current subscription fee.

8.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to premium features until that date.

8.5 Refunds

Subscriptions are generally non-refundable. However, refunds may be issued at our discretion or as required by applicable law. If you believe you are entitled to a refund, please contact us at support@upfolio.me.

9. Intellectual Property

UpFolio's branding, logo, user interface, design, code, and all other aspects of the Service (excluding user-uploaded content) are the exclusive property of UpFolio and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our prior written consent.

10. Limitation of Liability and No Guarantees

UpFolio is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee:

• Job placement, interviews, or any career outcomes
• That the Service will be error-free, uninterrupted, or secure
• The accuracy, completeness, or reliability of AI-generated content
• That your portfolio will achieve specific results or visibility

To the fullest extent permitted by law, UpFolio and its creator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or opportunities, arising from your use of the Service.

11. Termination of Accounts

We reserve the right to suspend or terminate your account, with prior notice where reasonably possible, if:

• You violate these Terms
• Your account is used for illegal or harmful activities
• We are required to do so by law

Upon termination, your access to the Service will be immediately revoked. You may delete your account at any time through your account settings.

11.1 Data Retention After Deletion

When you delete your account:

• Your portfolio will be permanently removed from public access
• Your CV and portfolio content will be deleted from our active systems
• Your personal information will be deleted or anonymized

Note: Certain data may be retained in backups for up to 90 days or as required by law for legal, accounting, or security purposes. This data will not be publicly accessible and will be permanently deleted according to our retention schedule.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make changes, we will update the "Last updated" date at the top of this page.

If we make material changes, we will notify you via email or through a prominent notice on the Service. Your continued use of UpFolio after changes become effective constitutes your acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall first be resolved through good faith negotiation. If a dispute cannot be resolved amicably within 30 days, it shall be submitted to the competent courts of Spain, or to binding arbitration if both parties agree.

14. Force Majeure

UpFolio shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God, natural disasters, pandemics, or epidemics
• War, terrorism, civil unrest, or government actions
• Failures of third-party services (hosting providers, payment processors, AI providers, etc.)
• Internet service interruptions, cyberattacks, or infrastructure failures
• Labor disputes or strikes

In such events, our obligations under these Terms will be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.
